At GENUINE CARING, L.P. we take our business - and your music - seriously. The License Agreement (click thru) is necessary to protect your interests and ours. We ask that you take the time necessary to read the License Agreement and fill it out correctly.

Please register with the date and all of your contact information where indicated. GENUINE CARING L.P. will not sell the personal information you supply to any third party.

Artists of all ages are genuinely welcome to share their "GC RATED" musical gifts with the world. If you are submitting music as an individual, you must be 18 or older; if you are a group and if any member of your group is a minor, you must have the legal right to enter into the License Agreement on behalf of the minor and the group. We respectfully request (insist) that if you are under the age of 18 years old, that a parent/legal guardian must be registering you and agreeing to this license agreement and the terms and conditions.

List the title of the song that you are submitting to GENUINE CARING L.P., along with a description of the music.
In addition, you MUST include the name and social security number of the person to whom payment will be made payable. This can only be one person (over 18 yrs.) or company. As the group/band representative you are agreeing to act on the behalf of all group/band members and you are responsible for the music that is uploaded by you. You also MUST agree and represent that Genuine Caring L.P. is not responsible for any payment(s) to anyone other than to you for the .20 cent payment. If someone other than you will be the primary contact for GENUINE CARING L.P. (the person who will answer questions, etc.), give that person's or company contact information here.

1. Submit the above-mentioned Submission Section, along with your music. Your materials must be submitted in a digital format; we prefer that you submit your music electronically. Audio files MUST be in MP3 format.
2. The music you submit must be your own and CANNOT contain samples or interpolations for which you have not obtained written permission and clearance. ("Sampling" means incorporating a digital copy of any portion of someone else's pre-existing recording into your own new recording; "interpolating" means making a new recording of any portion of someone else's pre-existing music and incorporating it into your own new recording.) If there are samples or interpolations for which you HAVE received permission, you must mail or scan and e-mail us a copy of your signed written authorization to use such samples or interpolations in order for your music to be eligible for GENUINE CARING's website.
3. This agreement and any other terms or documents referred to herein represent your entire agreement with GENUINE CARING L.P. with respect to your use of the Sites(s). If any part of this agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. The laws of the Commonwealth of Pennsylvania, excluding its conflicts of law rules, govern this agreement and your use of the Site(s), the Songs, and the Materials. All claims, disputes, wether Charity, Artist and or member (purchaser) shall be submitted to and determined by an Arbitrator. Any such Arbitration shall be conducted in Easton, Northampton County, Pennsylvania. Either party may initiate the Arbitration by giving written demand for Arbitration to the other Party by registered or certified mail setting forth the nature of the controversy and any remedies sought. If the Parties cannot agree to the appointment of an Arbitrator within 30 days, either Party may have the opportunity to seek the appointment of the Arbitrator by the Court of Common Pleas of Northampton County, Pennsylvania. The decision of the Arbitrator shall be final and binding upon the Parties and judgment may be entered in any Court having jurisdiction. Each Party shall bear its own expenses in connection with the preparation and presentation of its case at the Arbitration proceedings. The fee and expenses of the Arbitrator and all other expenses of the Arbitration except those referred to in the proceeding sentence shall be borne equally by the Parties to the Arbitration. You expressly agree that the courts in the Commonwealth of Pennsylvania, Northampton County, have exclusive jurisdiction over any claim or dispute with GENUINE CARING L.P. or relating in any way to your account or your use of the Site(s), the Songs, or the Materials. You further agree and expressly consent to personal jurisdiction over you in the federal and state courts in Northampton County in connection with any such dispute including any claim involving GENUINE CARING L.P. or its partners, parents, licensors, affiliates, subsidiaries, employees, contractors, officers, directors or suppliers.

This document is a binding legal contract between you and Genuine Caring, Inc. ("GENUINE CARING L.P.") that governs your use of GENUINE CARING's online services available at www.Genuine Caring.com or any alternate, related or successor websites [the "GENUINE CARING Sites(s)" or the "Site(s)"].

Please read this agreement carefully prior to downloading any material from the Site(s). IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS DO NOT USE THIS SITE. By downloading any material from the Site(s), you are consenting as member (purchaser) to become a party to this agreement and agreeing to be bound by these terms and conditions.

GENUINE CARING L.P. allows you to listen to portions of or entire Songs via streaming download, and to buy permanent downloads of entire Songs and related digital content ("Materials"). "Songs" may consist of audio-only or audio-visual recordings.

Regarding streaming downloads:

You may listen to as many Songs as you like by streaming download. You may not attempt (or support others' attempts) to capture, copy, or permanently download a Song (or any part of a Song) accessed via streaming download.

Regarding permanent downloads:

To buy a permanent download, you must supply complete and accurate information as required by GENUINE CARING's credit card purchase system. You agree to pay for all Songs that you buy through the Site(s), and GENUINE CARING L.P. may charge your credit card for any such payment(s). You will be responsible for any charges that are incurred by any person using your credit card number.

Purchaser understands they are volunteering to donate $1.00 to a charity with the purchase of a song download. You may buy the song for $.99 and opt out of the $1.00 donation by contacting our customer service department.

On occasion, technical problems may delay or prevent delivery of purchased Songs to you. Your sole remedy with respect to Purchased Songs that are not delivered will be either replacement of such products or refund of the price paid minus $1.00 charitable contribution for such content, at GENUINE CARING's discretion.

All prices are subject to change by GENUINE CARING L.P. at any time. Prices quoted are generally inclusive of any applicable taxes, including sales taxes. GENUINE CARING L.P. reserves the right to change this policy at any time.

Regarding both streaming and permanent downloads:

GENUINE CARING L.P. may from time to time modify these terms and will post a copy of the amended agreement on the Site(s). If you do not agree to (or cannot comply with) the agreement as amended, your only remedy is to stop using the Sites(s). You will be deemed to have accepted the agreement as amended if you continue to use the Site(s) after any amendments are posted.

You must be at least 18 years of age to agree to and enter into this agreement on your own behalf. If you are under 18 years of age, you must present this agreement to your parent or legal guardian, and he or she must click below to enter into this agreement on your behalf.
You understand and agree that any information you provide to GENUINE CARING L.P. will be covered by GENUINE CARING's [Privacy Policy] as set forth on the Site(s) and which may be amended from time to time.

You are responsible for any hardware, systems and/or software program(s) you use and any associated fees and expenses to connect to or use the Internet and/or to use any Materials.

The Genuine Caring Site(s), the Songs and the Materials are only for your personal, non-commercial use. The Songs and Materials are owned by GENUINE CARING L.P., its business partners, affiliates and/or licensors, as applicable, and are protected by intellectual property laws. You agree that the content rights holders that license their musical or other content to GENUINE CARING L.P. for use on the Site(s) are intended third-party beneficiaries under this agreement with the right to enforce the provisions that directly concern their content. You may not authorize, encourage or allow any Songs or Materials used or obtained by you to be reproduced, modified, displayed, performed, transferred, distributed or otherwise used by anyone else. You agree to advise GENUINE CARING L.P. promptly of any such unauthorized use(s). All rights not expressly granted to you in this agreement are reserved to GENUINE CARING L.P. and/or its licensors.

All trademarks, service marks, trade names, slogans, logos, and other indicia of origin that appear on or in connection with the Site(s) are the property of GENUINE CARING L.P. and/or its affiliates, licensors and/or licensees. You may not copy, display or use any of these marks without prior written permission of the mark owner.

If GENUINE CARING L.P. receives a notice alleging that you have engaged in behavior that infringes GENUINE CARING's or others' intellectual property rights or reasonably suspects the same, GENUINE CARING L.P. may suspend or terminate your access or your account without notice to you. If GENUINE CARING L.P. suspends or terminates your access or your account under this paragraph, it shall have no liability or responsibility to you, including for any amounts that you have previously paid.

The Site(s) may contain e-mail services, bulletin board services, chat areas, news groups, social networking links, file cabinets and/or other message or communication facilities designed to enable you to communicate with third parties. GENUINE CARING L.P. will not monitor any such communications between you and third parties. To the maximum extent permitted by applicable law, in no event will GENUINE CARING L.P. be liable for any damages whatsoever arising out of any dispute in connection with your communications with third parties. You agree to use any such communication service provided by GENUINE CARING L.P. only to post, send and receive messages and material that are proper, and you agree that you will not use any such communication service in connection with surveys, contests, pyramid schemes, chain letters, junk e-mail, spamming or any duplicative or unsolicited messages (commercial or otherwise), or to defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others, or to publish, post, upload, distribute or disseminate any inappropriate materials.

You may not interfere with or disrupt the Site(s) or any networks connected to or by the Site(s) or otherwise interfere with the functionality of any computer systems.

The Songs and Materials featured on the Site(s) have not been evaluated by the Recording Industry Association of America. GENUINE CARING L.P. DOES rate, and monitor, to the best of our ability, the Songs and Materials for explicit content. AT GENUINE CARING L.P. THE RATING STANDARD IS "GC" RATED: ALL MUSIC. LYRICS, PICTURES, AND CONTENT ON THIS SITE IS TO REFLECT THE PURE INTENT TO BE UPLIFTING, RESPECTFUL, AND A POSITIVE SPIRIT OF INTEGRITY THAT IS APPROPRIATE FOR ANY AGE VISITOR TO OUR SITE. You understand and agree that your sole remedy with respect to any content or materials that you find objectionable is to immediately notify GENUINE CARING L.P. customerservice@genuinecaring.com of your objection by following the [instructions] on the Site(s).

The Site(s) may contain links to third party websites ("Linked Sites"). The Linked Sites are not under the control of GENUINE CARING L.P., and GENUINE CARING L.P. is not responsible for the contents or operation of any Linked Site.

You agree that any unauthorized use of the Songs, the Materials, or the Site(s) would result in irreparable injury to GENUINE CARING L.P. and/or its affiliates or licensors for which money damages would be inadequate, and in such event GENUINE CARING L.P., its affiliates and/or licensors, as applicable, shall have the right, in addition to other remedies available at law and in equity, to immediate injunctive relief against you. Nothing contained in this agreement shall be construed to limit remedies available pursuant to statutory or other claims that GENUINE CARING L.P., its affiliates and/or licensors may have under separate legal authority.

You agree to indemnify and hold harmless GENUINE CARING L.P. and its agents, employees, representatives, licensors, affiliates, parents and subsidiaries from and against any and all claims, losses, demands, causes of action and judgments (including attorneys' fees and court costs) arising from or concerning your breach of this agreement and your use of the Site(s), the Songs, or the Materials and to reimburse them on demand for any losses, costs or expenses they incur as a result thereof.

GENUINE CARING L.P. may in its sole discretion terminate this agreement or suspend your access or your account at any time without notice to you in the event that you breach (or GENUINE CARING L.P. reasonably suspects that you have breached) any provision of this agreement. If GENUINE CARING L.P. terminates this agreement, or suspends your account for any of the reasons set forth in this paragraph, it shall have no liability or responsibility to you, and GENUINE CARING will not refund any amounts that you have previously paid.

GENUINE CARING L.P. reserves the right at any time and from time to time, with or without reason, to modify or discontinue, temporarily or permanently, the Sites(s) (or any part thereof) with or without notice to you, without any liability to you or to any third party. GENUINE CARING L.P. makes no assurances whatsoever that any of the Songs or Materials on the Sites(s) shall continue to be available for any particular time period.

You acknowledge that GENUINE CARING L.P. is not responsible for your inability to log on to the Site(s), either because of poor Internet connections, incorrect typing of log-ins or passwords, and/or browser incompatibility. You acknowledge that the operation of the Site(s) may from time to time encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors, and GENUINE CARING L.P. shall not be responsible to you or others for any such interruptions, errors or problems or an outright discontinuance of the GENUINE CARING L.P. service, whether or not caused in whole or part by GENUINE CARING's negligence. You acknowledge that your use of the Site(s) is at your sole risk, and you assume full responsibility for all costs associated with all necessary servicing or repairs of any equipment you use in connection with your use of the Site(s).

To the maximum extent permitted by applicable law, GENUINE CARING L.P. disclaims all warranties, either express or implied, including but not limited to (1) uninterrupted or continuous availability of the Site(s), and (2) implied warranties of title, accuracy, completeness, currency, merchantability, fitness for a particular purpose, and non-infringement with respect to the Site(s) or any services provided by GENUINE CARING L.P. hereunder.

If you believe any Song(s) or Materials posted on the Site(s) infringe your copyright in such materials, you must notify GENUINE CARING L.P. according to the instructions on the Site(s). Upon receiving your proper notice as specified, GENUINE CARING L.P. will review and or remove or disable access to the materials on the Site(s) which you assert infringe your materials. GENUINE CARING L.P. will also take steps to promptly notify the person or persons responsible for the allegedly infringing materials that GENUINE CARING L.P. has removed or disabled access to such materials. The alleged infringer will have an opportunity to dispute your claim that his or her materials infringe your materials.

To the maximum extent permitted by applicable law, in no event will GENUINE CARING L.P. be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use or inability to use the Site(s), even if GENUINE CARING L.P. has been advised of the possibility of such damages.

This agreement and any other terms or documents referred to herein represent your entire agreement with GENUINE CARING L.P. with respect to your use of the Sites(s). By clicking below to indicate your acceptance to this agreement, you represent that (i) you have read, understood and agree to be bound by this agreement and (ii) you are at least 18 years old, either entering into this agreement for yourself or entering on behalf of your child or a child in your legal care. If you are a parent or guardian entering this agreement for the benefit of your child, please be aware that you are fully responsible for his or her use of the Site(s), including all financial charges and legal liability that he or she may incur. If you do not agree to (or cannot comply with) any of these terms and conditions, do not click the acceptance box and do not attempt to download any material from the Site(s).

Thank you for your interest in working with GENUINE CARING L.P. ("GENUINE CARING") to gain exposure for your charity, and to potentially receive donations from customers who patronize Genuine Caring's website and its Artists. Please see the License Agreement for Artists and the Download Terms and Conditions for Customers for details of GENUINE CARING's policies. By signing below and submitting your materials, on behalf of the charity you represent, you agree to be bound by GENUINE CARING's policies.

You agree to the following:

You are duly authorized to enter into this agreement, to accept donations from GENUINE CARING L.P., and to supply GENUINE CARING L.P. with the information requested below.

You understand and agree that a monthly payment to your charity will be deposited or mailed to the you, the charity, in the registered name of the charity on a monthly basis after the charity has received a minimum of $100.00 in download donations in that calendar month.

You and the charity you represent hereby grant GENUINE CARING L.P. the right to use your charity's name and logo in connection with sales of its artists' materials, for promotion of the GENUINE CARING L.P. website and within the GENUINE CARING L.P. website.

You and the charity you represent hereby agree to give permission to and waive any claim of liability against GENUINE CARING L.P. whether in connection with use of our website, your charity's name or logo, and for solicitation of contributions on behalf of your charity, and you and the charity you represent shall hold GENUINE CARING L.P, harmless into perpetuity any connection therewith.

You shall supply GENUINE CARING L.P. with true and correct copies of any and all Internal Revenue Service, State and/or local proof that your charity is tax-exempt and entitled to solicit charitable contributions for inspection by GENUINE CARING L.P. and/or its professional advisors, and that GENUINE CARING L.P and/or its professional advisors shall be empowered to confirm your charity's tax exempt, charitable and solicitation status with any and all appropriate authorities. Such proof shall be submitted in ".pdf" scanned, electronic format, by clicking below and attaching such proof to this registration. For your CONVENIENCE, feel free to email to customerservice@genuinecaring.com or fax 610-629-3900 your true and correct copies of any and all Internal Revenue Service, State and/or local proof that your charity is tax-exempt and entitled to solicit charitable contributions for inspection by GENUINE CARING L.P. and/or its professional advisors, and that GENUINE CARING L.P. and/or its professional advisors shall be empowered to confirm your charity's tax exempt, charitable and solicitation status with any and all appropriate authorities.

GENUINE CARING L.P. shall be entitled to approve or reject your charity's application for eligibility to receive charitable contributions from GENUINE CARING's customers in connection with purchases of GENUINE CARING's Artists' music and videos, in GENUINE CARING's sole discretion. This agreement and any other terms or documents referred to herein represent your entire agreement with GENUINE CARING L.P. with respect to your use of the Sites(s). If any part of this agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. The laws of the Commonwealth of Pennsylvania, excluding its conflicts of law rules, govern this agreement and your use of the Site(s), the Songs, and the Materials. All claims, disputes, whether Charity, Artist and or Member (purchaser) shall be submitted to and determined by an Arbitrator. Any such Arbitration shall be conducted in Easton, Northampton County, Pennsylvania. Either party may initiate the Arbitration by giving written demand for Arbitration to the other Party by registered or certified mail setting forth the nature of the controversy and any remedies sought. You expressly agree that the courts in the Commonwealth of Pennsylvania, Northampton County, have exclusive jurisdiction over any claim or dispute with GENUINE CARING L.P. or relating in any way to your account or your use of the Site(s), the Songs, or the Materials. You further agree and expressly consent to personal jurisdiction over you in the federal and state courts in Northampton County in connection with any such dispute including any claim involving GENUINE CARING L.P. or its partners, parents, licensors, affiliates, subsidiaries, employees, contractors, officers, directors or suppliers. GENUINE CARING L.P. reserves the right to revoke such eligibility at any time in the future, in its sole discretion, and GENUINE CARING's decision to revoke such eligibility shall be binding, enforceable and non-appealable.
